Petrax Software license, is a lease.  We treat this as a perpetual license, which means the user can continue to use the version of Petrax they are on without having to purchase annual maintenance.  

Per the license agreement, purchasing PETRAX allows for the software to be run on a single machine.   If you are running Petrax on multiple machines , you need to purchase additional licenses.   

Support and Maintenance:  If current, you are entitled to unlimited email support for PETRAX Software.  Our goal is to provide a response within 24 hours, and resolve most issues, within 3 days at the latest.  This is generally done a first come first served response.   In addition, we will setup calls and employ remote tools if the situation calls for it.   

The maintenance portion allows the user rights to any and all upgrades to Petrax.   Our intent is set specific release goals such that people will know what to expect for this fee.   We aim for three releases per year and will be setting a service level agreement of two.   If this goal is not met, all customers who are current on their maintenance will receive discounts on the renewal fee for the next year.  

Petrax Software, Inc. Software License Agreement

Petrax Software, Inc. (“company”) is willing to license PETRAX (“software”) to you only upon the condition that you accept all of the terms contained in this agreement. Read the terms and conditions of this agreement carefully before selecting the “I accept” button at the bottom of the page. By selecting the “I Agree” button, you agree to be bound by the terms of this license agreement and the software will be installed. Use of PETRAX also implies you agree to the terms of this agreement. If you are not willing to be bound by this agreement or do not accept the terms and conditions within, select “I Do Not Agree” to cancel the loading of the software and return the disk, packaging and any documentation to our offices within 30 days for a full refund.

1. Grant of License

Petrax Software, Inc. (“PS”) grants you a nonexclusive, nontransferable license to use the enclosed program (“software”) and its printed manual and other accompanying material (“documentation”), with equipment owned by you or under your control, according to the terms and conditions of this License Agreement. This License Agreement permits a single user to install and use the software on only one computer at one location at any one time. A backup copy of PETRAX may be maintained but may not be installed on another computer. This archival copy may not be used or installed as long as another copy of the software is installed on any computer. Software patches or upgrades provided to you by PS or an authorized third party in connection with the software licensed to you shall be subject to the terms and conditions of this License Agreement unless otherwise specified at the time of delivery.

2. Restrictions

You may not:

• Copy the software or documentation except as permitted by this license.
• Reverse engineer, decompile or disassemble the Software except to the extent permitted by law where this is indispensable to obtain the information necessary to achieve interoperability of an independently created program with the software or with another program and such information is not readily available from PS.
• Distribute, rent, loan, lease, sell, sublicense or otherwise transfer all or part of the software, documentation or any rights granted hereunder to any other person without the prior written consent of Petrax Software, Inc.
• Remove, alter or obscure any proprietary notices, labels or marks from the software or documentation.
• Modify, translate, adapt, arrange or create derivative works based on the software or documentation for any purpose.
• Utilize any equipment, device, software or other means designed to circumvent or remove any form of copy protection used by PS in connection with the software.
• Use, copy, modify or transfer program or any copy, modification or merged portion in whole or in part except as expressly provided for in this agreement.

3. Copyright

Title and copyrights to the software, documentation and accompanying materials and any copies made by you remain with PS. Unauthorized copying of the software or documentation or failure to comply with the above restrictions will result in automatic termination of this license. Copying of this computer program except as permitted by this License is copyright infringement and a violation of United States law.

4. Limited Warranties

PETRAX is provided “AS IS”. PS makes and you receive no warranties, either express or implied, including but not limited to, the implied warranties of merchantability or fitness for a particular purpose. The above exclusions may not apply to you as some jurisdictions do not allow the exclusion of implied warranties. This warranty gives you specific rights and you may also have other rights that vary from state to state. PS does not warrant that the operation of the software will be uninterrupted or error-free nor does PS warrant the functions contained in PETRAX will meet your requirements. PS agrees to provide free ‘bug-fixes’ and standard upgrades along with unlimited technical support to clients subscribing to a maintenance plan offered by PS. This fee is at the discretion of PS and subject to change as is the term of the maintenance plan. Those not covered by a maintenance plan shall receive standard upgrades and ‘bug repairs’ at not cost and free support by email only. Phone support will be provided for a charge to be determined by PS. PS’s entire liability and your exclusive remedy under the warranties made in this License Agreement will be, at PS’s discretion, to attempt to correct or work around errors, to replace the defective media, or to refund this license fee and terminate this license. This remedy is subject to the return of the defective media to PS’s office within 90 days of the date of its delivery to you.

5. Limitation of Liability

PETRAX is designed by use for professional pet sitters and trained staff. They are not substitutes for your professional judgment. PETRAX has not been tested in all situations under which it may be used. PS shall not be liable in any manner for the results obtained through the use of the software. In no event will PS be liable to you for any damages, including lost data, lost profits, lost savings or other incidental or consequential damages arising out of the use or inability to use the program even if the company has been advised of the possibility of such damages or for any claim by any other party. PS shall be held blameless for missed visits, injured animals and any other situation arising from the actions of pet sitters and staff using PETRAX. You acknowledge that acceptance of this agreement reflects this allocation of risk. Further, you are solely responsible for safeguarding the software from theft and protecting your investment. The above limitation may not apply to you because some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages.

6. General

• This license shall terminate without further notice or action by PS if you, the licensee, should become bankrupt, make an arrangement with your creditors or go into liquidation.
• This agreement is the entire agreement between us and supersedes any other communications or advertising with respect to the software or documentation.
• If any provision of these license conditions is found to be invalid or otherwise unforeseeable, the further conditions of this license will remain fully effective and the parties will be bound by obligations which approximate, as closely as possible, the effect of the provision found invalid or unenforceable, without being themselves invalid or unenforceable.
